Welcome to ChatVidoo. By accessing or using our website at chatvidoo.com and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Next Venture Capital LLC ("Company", "we", "us", or "our").

2. Eligibility and Age Requirements

By using the Service, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under applicable laws
• You will comply with all applicable local, state, national, and international laws
• You understand that this platform may contain adult content
• You will not allow any minor to access this Service through your account or device

Violation of age requirements may result in immediate account termination and legal action.

3. Description of Service

ChatVidoo is a live video streaming platform that enables users to broadcast and view live video content. The Service includes:

• Live video broadcasting capabilities
• Real-time chat functionality with automatic translation
• Virtual currency system for viewer interactions
• Payment processing for premium features
• Private one-on-one video sessions

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 One Account Policy

Each user may only maintain one account. Creating multiple accounts to circumvent bans, restrictions, or for any other purpose is strictly prohibited and will result in permanent termination of all associated accounts.

5. User Conduct and Prohibited Activities

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Transmit, display, or request content involving minors in any capacity whatsoever
• Engage in any form of harassment, bullying, or hate speech
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any systems
• Use automated systems or bots without authorization
• Engage in fraudulent activities or scams
• Record, capture, screenshot, download, or redistribute any content from streams without explicit written authorization
• Share, sell, or distribute any recorded content from the platform
• Use any screen recording software or tools while using the Service

6. Platform Exclusivity and External Promotion

• Promotion of competing platforms: Users may not promote, advertise, or direct other users to competing streaming platforms, cam sites, or similar services
• External contact solicitation: Sharing personal contact information (phone numbers, email addresses, social media accounts) for the purpose of conducting business outside the platform is prohibited
• Off-platform transactions: Any attempt to arrange payments or transactions outside of ChatVidoo's official payment system is strictly forbidden
• Advertising external services: Promotion of external websites, products, or services not affiliated with ChatVidoo is not allowed
• Soliciting users to other platforms: Attempting to redirect users to other platforms, websites, or applications is prohibited

Violation of these rules will result in immediate account suspension and may lead to permanent ban.

7. Respect and Community Standards

ChatVidoo is committed to maintaining a respectful and safe environment for all users. You agree to:

• Treat all users with respect and dignity
• Communicate in a civil and courteous manner
• Respect the boundaries set by broadcasters
• Not engage in discriminatory behavior based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Not use offensive, vulgar, or abusive language toward other users
• Not threaten, intimidate, or stalk other users
• Not share private conversations or information about other users
• Report any violations of these standards to our support team

Failure to maintain respectful conduct may result in warnings, temporary suspensions, or permanent bans at our sole discretion.

8. Privacy and Content Protection

8.1 Protection of Broadcasters

All content streamed on ChatVidoo is protected. You agree that:

• You will not record, capture, or screenshot any live streams or video content
• You will not use any third-party software or tools to capture content
• You will not store any broadcast content on any device or server
• You will not share, distribute, upload, or publish any content from the platform on any other website, platform, or medium
• You will not use any content for commercial purposes
• You will not create derivative works from platform content

8.2 Privacy of Users

Protecting user privacy is paramount. You agree that:

• You will not attempt to identify or reveal the real identity of any broadcaster or user
• You will not share personal information about other users
• You will not engage in doxxing or any form of privacy invasion
• You will respect the anonymity choices of other users
• You will not use information obtained through the platform to contact users outside the platform without consent

8.3 Image and Likeness Rights

The image, likeness, and video content of broadcasters belong exclusively to them. Unauthorized use of a broadcaster's image or likeness is prohibited and may result in legal action by both the broadcaster and ChatVidoo.

9. Content Guidelines

9.1 User-Generated Content

You retain ownership of content you create and share on the Service. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Service.

9.2 Content Restrictions

The following content is strictly prohibited:

• Any content involving minors or appearing to involve minors
• Non-consensual content or content depicting violence
• Content depicting illegal activities
• Content that promotes hatred or discrimination
• Content involving animals
• Content depicting self-harm or suicide
• Content that infringes on intellectual property rights

10. Payments and Virtual Currency

10.1 Purchases

The Service may offer virtual currency ("Minutes") or other premium features for purchase. All purchases are final and non-refundable except as required by applicable law or as explicitly stated in our refund policy.

10.2 Pricing

Prices are displayed in applicable currencies and may be subject to change. You agree to pay all charges at the prices in effect when incurred.

10.3 Payment Processing

Payments are processed through secure third-party payment processors. We do not store complete credit card information on our servers.

10.4 Chargebacks and Fraud

Fraudulent chargebacks or payment disputes made in bad faith may result in immediate account termination and legal action to recover losses, including collection costs and attorney fees.

11. Broadcaster Terms

11.1 Eligibility

To broadcast on ChatVidoo, you must:

• Be at least 18 years of age
• Complete our KYC (Know Your Customer) verification process
• Provide valid government-issued identification
• Agree to our Broadcaster Agreement

11.2 Broadcaster Responsibilities

As a broadcaster, you:

• Are solely responsible for the content you broadcast
• Must comply with all content guidelines and applicable laws
• Must not broadcast content involving any person who has not provided verifiable consent
• Must maintain appropriate records as required by applicable law
• Agree that earnings are subject to our payment terms and applicable taxes
• Understand we reserve the right to terminate broadcasting privileges at any time

11.3 KYC Verification

All broadcasters must complete identity verification in compliance with the EU Digital Services Act (DSA) and other applicable regulations. This includes providing valid identification documents and selfie verification. False or fraudulent documents will result in permanent ban and may be reported to authorities.

12. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Next Venture Capital LLC and is protected by international copyright, trademark, and other intellectual property laws.

The ChatVidoo name, logo, and all related marks are trademarks of Next Venture Capital LLC. Unauthorized use of these marks is prohibited.

13. Legal Action and Enforcement

• Unauthorized recording or distribution of content: We will pursue all available legal remedies, including civil and criminal action, against anyone who records, distributes, or profits from unauthorized content
• Minor protection violations: Any attempt to involve minors in any capacity will be reported to law enforcement authorities
• Fraud and chargebacks: Fraudulent activity will result in legal action to recover losses
• Harassment and threats: Serious harassment, threats, or stalking behavior will be reported to appropriate authorities
• Privacy violations: Doxxing, identity exposure, or privacy breaches may result in civil liability
• Intellectual property infringement: Unauthorized use of our trademarks or copyrighted material will be prosecuted

We cooperate fully with law enforcement agencies and will provide user information when required by valid legal process.

14. Disclaimer of Warranties

We do not warrant that the Service will be uninterrupted, secure, or error-free. We are not responsible for content created by users.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT VENTURE CAPITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability shall not exceed the greater of (a) the amount you paid to us in the 12 months prior to the claim, or (b) $100 USD.

16. Indemnification

You agree to indemnify and hold harmless Next Venture Capital LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you post or transmit through the Service

17. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will cease immediately
• Any unused virtual currency or credits may be forfeited
• We may delete your account and associated data
• Certain provisions of these Terms will survive termination

18. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Cheyenne, Wyoming.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

20. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and ChatVidoo regarding the Service.
